Terms of Service
Effective October 9, 2026 · TOS-2026-10-09
1. Who we are and acceptance
EventOS (the "Platform") is operated by DineWise Solutions LLC, a Texas limited liability company, United States ("DineWise", "we"). By creating an account or using the Platform you accept these Terms. If you act on behalf of a business or organization, you represent that you have authority to bind it. You must be at least 18 years old.
2. Relationship to the Services Agreement
Organizations that sell tickets sign the EventOS Services Agreement inside the Platform. If these Terms and that Agreement differ, the Agreement prevails. Ticket buyers are governed by the Ticket Purchase Terms.
3. The service
EventOS is software-as-a-service for selling tickets and managing events, venues, tables, box office, access control, customers and communications. We provide technology; we do not organize events or sell tickets on our own behalf.
4. Accounts, team and stations
You are responsible for your account information, for keeping passwords, admin PINs and point-of-sale PINs confidential, and for everything your users and stations do. Tell us immediately about any unauthorized use.
5. Plans, free trial and automatic renewal
Current plans, prices and fees are published on the Pricing page and shown in your account before you subscribe. If your plan includes a free trial, when it ends the selected plan will be charged automatically to your payment method on file unless you cancel before. Subscriptions are billed in advance and AUTOMATICALLY RENEW each period (monthly or annual) until you cancel from "Plan & billing" or by writing to us; cancellation takes effect at the end of the paid period and there are no prorated refunds unless required by law. Price changes are notified at least 30 days in advance and apply from the next period. Discounts or courtesies we grant are reflected in your account while in effect.
6. Ticket sales, payments and platform fee
Your buyers' card payments are processed by Stripe as direct charges on your connected account: YOU are the seller (merchant of record) and DineWise does not receive or hold your sales funds. You must accept and comply with the Stripe Connected Account Agreement. On each card sale Stripe automatically deducts the platform fee of your plan or special rate (shown in your account). Cash sales recorded in the Platform do not incur a platform fee. Stripe processing fees, refunds, chargebacks and losses on your sales are your responsibility toward Stripe. You set prices, service charges, taxes and your refund policy, and you must show it to your buyers.
7. Non-payment
If a subscription payment fails you will have a 30-day grace period. After that we may restrict non-critical features (for example, creating or publishing new events). Sales of already-published events, access control, box office and refunds remain available to protect your buyers.
8. Acceptable use
You may not use the Platform for: illegal, fraudulent or misleading events; selling tickets you cannot fulfill; unauthorized resale or bots; spam or communications without consent (you must comply with CAN-SPAM and, where applicable, the TCPA); infringing third-party rights; breaching security, reverse engineering or overloading the service. You are responsible for permits, licenses, insurance, accessibility (ADA), taxes and other laws applicable to your events. We may suspend content or accounts that violate this section.
9. Content and intellectual property
You keep ownership of your brand and content (text, images, logos) and grant us a limited license to display them on the Platform and your public site while you use the service. You must have the right to use what you publish. The Platform, its software and trademarks belong to DineWise. Copyright infringement notices (DMCA): send them to management@dinewisesolutions.com with the work, the location of the material, your contact details and a good-faith statement; we will remove material as appropriate.
10. Personal data
We process data as described in the Privacy Notice. For your buyers' data, you decide how it is used and DineWise processes it on your behalf to provide the service. You must have the legal bases and notices required for your communications.
11. Availability and support
We use commercially reasonable efforts to keep the Platform available and provide support through published channels. Interruptions may occur due to maintenance or causes beyond our control. Unless agreed in writing, no specific service level is guaranteed.
12. Warranties and limitation of liability
The Platform is provided "as is" and "as available", without warranties beyond those expressly stated. Neither party is liable for indirect, incidental, special or consequential damages or lost profits. Our total liability will not exceed the subscription fees you paid us in the 12 months before the event giving rise to the claim.
13. Indemnification
You will indemnify us against third-party claims (including buyers and authorities) arising from your events, content, sales or breach of law or these Terms.
14. Termination
You may stop using the service at any time. We may suspend or terminate accounts for material breach not cured within 15 days, or immediately in cases of fraud or risk to others. Upon termination you may export your data for 30 days; you remain responsible to your buyers for events already sold.
15. Governing law
These Terms are governed by the laws of the State of Texas, United States. The parties submit to the courts of Hidalgo County, Texas.
16. Changes and notices
We may update these Terms; material changes are notified at least 30 days in advance to the account owner's email. Legal notices: management@dinewisesolutions.com. These Terms exist in Spanish and English; in case of discrepancy the English version prevails.
